1.2 Authority to Bind

If you are using the Site on behalf of a company, organization, partnership, or other legal entity, you represent and warrant that you have the legal authority to bind that entity to these Terms. In such cases, “you” and “your” shall refer to both you as an individual and the entity on whose behalf you act.

1.3 Geographic Restrictions

The Site is operated from the United States. We make no representation that the Site, or the products and services described therein, are available or appropriate for use in all jurisdictions. Access to the Site from countries where such access may be illegal or restricted is prohibited. You are responsible for compliance with applicable local laws in your jurisdiction.

1.4 Prohibited Industries and End Uses

Given the nature of our products, use of the Site by persons or entities engaged in activities prohibited under applicable export control, sanctions, or anti-proliferation laws is strictly prohibited. This includes persons or entities appearing on the US Department of Commerce Denied Parties List, OFAC Specially Designated Nationals (SDN) List, or equivalent restricted party lists.

Use of the Site

2.1 Permitted Use

Subject to your compliance with these Terms, RawSource grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful business purposes, including browsing product information, submitting quote or inquiry requests, accessing technical documentation, and communicating with our team. This license does not include the right to reproduce, scrape, aggregate, or commercially exploit Site content.

2.2 Prohibited Activities

You agree not to use the Site for any of the following purposes:

• Uploading, transmitting, or distributing malicious code, viruses, spyware, adware, ransomware, or any other harmful software
• Attempting to gain unauthorized access to any portion of the Site, our servers, or any system or network connected to the Site

2.3 Chemical Safety and Regulatory Compliance

RawSource supplies industrial chemicals and specialty ingredients. The information, product descriptions, and technical data available on the Site relate to materials that may be hazardous, regulated, or subject to end-use restrictions under applicable laws including:

• US Toxic Substances Control Act (TSCA)
• US Export Administration Regulations (EAR)
• US International Traffic in Arms Regulations (ITAR) where applicable
• OSHA Hazard Communication Standard / GHS
• US EPA regulations
• EU REACH and CLP regulations for materials intended for the European market

You are solely responsible for ensuring that your purchase, import, storage, handling, use, and disposal of any chemicals or ingredients sourced through RawSource comply with all applicable laws, regulations, and industry standards in your jurisdiction. RawSource is not responsible for regulatory compliance obligations arising from your use or application of any products you purchase.

Product Information and Accuracy

3.1 Informational Purpose

All product information published on the Site is provided for general informational purposes only. RawSource makes no warranty or representation that product specifications reflect exact current inventory, that technical data is complete, error-free, or appropriate for any specific end use, or that product availability or pricing reflects real-time data.

Actual product specifications, pricing, availability, and lead times are confirmed only through direct commercial communication with our sales team. No product information on the Site constitutes an offer to sell or a binding quotation.

3.2 No Warranty on Technical Content

Application guidance, formulation recommendations, and technical content published on the Site are provided as general industry information only and are not a substitute for professional formulation engineering, independent regulatory review, or safety assessment. You should independently verify the suitability of any material for your intended application by reviewing the relevant Safety Data Sheet (SDS) and conducting appropriate laboratory testing before commercial use.

3.3 Price and Availability

Chemical commodity prices and product availability are subject to rapid change due to market conditions, supply chain disruptions, currency fluctuations, and regulatory changes. Any prices listed or referenced on the Site are indicative only and do not constitute a binding offer to sell at that price. Confirmed pricing is provided solely through direct quotation from our commercial team.

Quote Requests and Commercial Transactions

4.1 Quote Requests Are Not Orders

Submission of a quote request, contact form, or product inquiry through the Site does not constitute a purchase order, binding contract, or commitment by either party. All quote requests are subject to review and acceptance by RawSource in its sole discretion. RawSource reserves the right to decline any inquiry without explanation. A binding commercial transaction is only formed when both parties have executed a written agreement, purchase order, or equivalent confirmation in accordance with RawSource’s standard commercial terms.

4.2 Terms of Sale

All commercial sales of products by RawSource are governed by separate Terms and Conditions of Sale, which are provided to prospective customers at the time of quotation or order confirmation. Those Terms and Conditions of Sale govern matters including pricing, payment, delivery, title transfer, risk of loss, returns, and warranties. In the event of any conflict between these Terms of Use and the Terms and Conditions of Sale, the Terms and Conditions of Sale shall govern with respect to the commercial transaction.

4.3 Export Control Compliance

RawSource complies with US export control laws including the Export Administration Regulations (EAR) administered by the US Department of Commerce, Bureau of Industry and Security (BIS). As part of our compliance program, we:

• Screen all customers and transactions against applicable restricted party lists, including the BIS Entity List, OFAC SDN List, and US Denied Persons List
• Note that certain chemicals and chemical intermediates may require an export license prior to shipment outside the United States
• Require that you represent and warrant that you are not a restricted party and that your end use complies with applicable export control laws
• Require that you provide accurate and complete end-use information as requested by our compliance team
• Reserve the right to terminate any transaction where false representations regarding end use or end user are identified, and to refer the matter to the appropriate government authorities

4.4 Hazardous Materials

Many products offered by RawSource are classified as hazardous materials under US Department of Transportation (DOT), International Air Transport Association (IATA), and International Maritime Dangerous Goods (IMDG) regulations. The buyer is responsible for ensuring that any chemicals purchased are received, stored, handled, used, and disposed of in full compliance with all applicable federal, state, and local laws and regulations, including OSHA, EPA, and relevant state environmental agency requirements. RawSource will provide Safety Data Sheets (SDS) for all products upon request and as required by law.

Intellectual Property

5.1 RawSource Intellectual Property

All content on the Site — including but not limited to text, product descriptions, technical articles, formulation guides, graphics, photographs, logos, icons, data compilations, and software — is the exclusive property of RawSource Inc. or its content licensors and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. RawSource® is a registered trademark of RawSource Inc. Unauthorized use of any RawSource trademark, trade name, or service mark is strictly prohibited.

5.2 Permitted Use of Site Content

You may view and print individual pages from the Site for your own internal business reference. You may not:

• Reproduce, republish, or distribute Site content for any commercial purpose without our prior written consent
• Remove, obscure, or alter any copyright, trademark, or proprietary rights notices
• Use any RawSource trademark, logo, or brand element without our express written consent
• Create derivative works based on Site content without prior written authorization
• Frame or mirror any proprietary information contained on the Site on any other server or device

5.3 User-Submitted Content

By submitting any content, feedback, suggestions, inquiries, or other information to RawSource through the Site, you grant RawSource a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, and incorporate such content into our business operations, communications, and services, without any obligation of compensation or attribution to you.

5.4 Confidential Information

If you share proprietary formulation details, technical specifications, pricing strategies, or other confidential business information with RawSource in the course of a commercial inquiry or transaction, RawSource will treat such information as confidential and will not disclose it to third parties except as necessary to fulfill your request, as required by law, or as agreed in a written non-disclosure agreement. A formal non-disclosure agreement is available upon request for parties requiring contractual confidentiality protections.

Disclaimer of Warranties

6.1 Site Provided “As Is”

THE SUITABILITY OF ANY PRODUCT FOR A SPECIFIC USE IS SOLELY THE RESPONSIBILITY OF THE BUYER, WHO MUST CONDUCT THEIR OWN INDEPENDENT ASSESSMENT, TESTING, AND REGULATORY REVIEW PRIOR TO USE.

Limitation of Liability

7.1 Exclusion of Certain Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAWSOURCE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY OF THE FOLLOWING, EVEN IF RAWSOURCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, GOODWILL, OR ANTICIPATED SAVINGS
• LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITY
• DAMAGES ARISING FROM YOUR RELIANCE ON ANY PRODUCT INFORMATION, TECHNICAL DATA, OR CONTENT ON THE SITE
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
• DAMAGES ARISING FROM THE CONDUCT OF ANY THIRD PARTY IN CONNECTION WITH THE SITE

7.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAWSOURCE’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF: (A) USD $100.00; OR (B) THE TOTAL AMOUNT PAID BY YOU TO RAWSOURCE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7.3 Jurisdiction-Specific Limitations

Some jurisdictions do not allow the exclusion or limitation of implied warranties or incidental or consequential damages, so the above limitations may not apply to you in full. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless RawSource Inc. and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your access to or use of the Site in violation of these Terms
• Your violation of any applicable law, regulation, or third-party right, including any intellectual property, privacy, or export control law
• Any content or information you submit to or through the Site that is false, misleading, or infringes on any third-party rights
• Your purchase, handling, use, storage, or disposal of any chemical products sourced through RawSource in violation of applicable laws or regulations
• Any misrepresentation you make regarding your identity, authority, end use, or end-user status in connection with export control compliance
• Any claim by a third party arising from your use of Site content in your products, formulations, or commercial activities

RawSource reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate fully with RawSource in asserting available defenses at your expense.

Third-Party Links and Resources

The Site may contain hyperlinks to third-party websites, including supplier manufacturer pages, industry association resources, regulatory agency portals, logistics provider sites, and social media platforms. These links are provided solely for your convenience and informational purposes. RawSource does not endorse, control, or assume any responsibility for the content, privacy practices, accuracy, legality, or availability of any third-party websites or resources. Your access to and use of any linked third-party site is governed by the terms and privacy policy of that site. RawSource shall not be liable for any damages or losses arising from your use of or reliance on any third-party website or content accessed through the Site. Termination and Access Restriction

10.1 Termination by RawSource

RawSource reserves the right, in its sole discretion, to suspend or terminate your access to the Site at any time, with or without notice, for any reason, including:

• Violation of any provision of these Terms
• Suspected fraudulent, deceptive, or abusive activity
• Request by law enforcement or other government authority
• Technical, security, or operational requirements
• Discontinuation or material modification of the Site or any portion thereof

10.2 Termination by You

You may discontinue use of the Site at any time. Termination of your access does not affect any rights or obligations arising prior to termination, including any outstanding commercial transactions governed by separate Terms and Conditions of Sale.

10.3 Effect of Termination

Upon termination of your access to the Site for any reason, the license granted to you under these Terms will immediately cease. The following provisions survive termination: Intellectual Property (Section 5), Disclaimer of Warranties (Section 6), Limitation of Liability (Section 7), Indemnification (Section 8), Governing Law and Dispute Resolution (Section 11), and any other provisions that by their nature should survive termination.

Governing Law and Dispute Resolution

11.1 Governing Law

These Terms and any disputes arising out of or related to your use of the Site or these Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms or any transaction arising hereunder.

11.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Broward County, Florida, United States. You hereby consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

11.3 Informal Resolution

Before initiating any formal legal action, you agree to first contact RawSource at solutions@rawsource.com and provide a written description of the dispute, your desired resolution, and your contact information. Both parties agree to attempt good-faith resolution within thirty (30) days of receipt of such notice before resorting to formal legal proceedings.

11.4 Waiver of Class Action

YOU AND RAWSOURCE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. ANY ARBITRATION OR COURT PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY.

Force Majeure

RawSource shall not be liable for any delay or failure in performance of its obligations under these Terms or any related commercial arrangement to the extent such delay or failure is caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government actions or embargoes, export restrictions, port closures or shipping disruptions, labor disputes or strikes, interruptions to utilities or telecommunications infrastructure, cyberattacks or denial-of-service events, raw material or feedstock shortages, or failures of third-party suppliers or logistics providers. In such events, RawSource will provide prompt written notice where reasonably practicable and will use commercially reasonable efforts to resume performance as soon as possible. Force majeure events do not excuse payment obligations for goods already delivered.

Compliance with Chemical and Environmental Laws

The purchase and use of chemical products carries significant legal compliance obligations. By using the Site and engaging in commercial transactions with RawSource, you agree and acknowledge the following:

• You are solely responsible for determining that your purchase, importation, storage, handling, use, and disposal of any chemical product complies with all applicable federal, state, provincial, and local laws in your jurisdiction, including but not limited to environmental, health, safety, transportation, and chemical control regulations
• You will obtain all required permits, licenses, registrations, and approvals from applicable government authorities prior to handling or using any chemical product
• You will ensure that all personnel handling chemical products have received appropriate training in accordance with OSHA Hazard Communication Standards and any other applicable regulations, and have been provided with current Safety Data Sheets for all relevant materials
• You will not resell, transfer, or distribute any chemical product purchased through RawSource to any party in violation of applicable export control, sanctions, or restricted party regulations, or for any end use that is prohibited under applicable law
• You agree to indemnify and hold harmless RawSource from any claims, penalties, fines, costs, or liabilities arising from your failure to comply with applicable chemical, environmental, health, safety, or export control laws in connection with products purchased from RawSource

Modifications to These Terms

RawSource reserves the right to modify, update, or replace these Terms at any time in its sole discretion. When we make material changes, we will update the “Last Updated” date displayed at the top of this page. We may also provide notification of significant changes via a prominent notice on the Site or by email where we have contact information on file. It is your responsibility to review these Terms periodically for changes. Your continued access to or use of the Site following the posting of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue your use of the Site.

Entire Agreement and Severability

These Terms, together with our Privacy Policy and any applicable Terms and Conditions of Sale provided at the time of a commercial transaction, constitute the entire agreement between you and RawSource with respect to your use of the Site and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter hereof.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

RawSource’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision shall be effective only if given in writing and signed by an authorized representative of RawSource. No waiver of any breach shall be construed as a waiver of any subsequent breach of the same or any other provision.
